These Terms and Conditions of Use are an agreement between MDVIT and users of the MDVIT website. Please read these Terms and Conditions of Use carefully prior to using this site. By using this site, you signify your assent to these Terms and Conditions of Use, as well as all provisions, disclaimers and disclosures on this Site If you do not agree to all of thes Terms and Conditions of Use, please do not use this site. MDVIT may revise and updte this agreement at any time. Your continued use of this site will mean that you agree to those changes.
The contents of the Site, such as text, graphics, images, information obtained from MDVIT licensors, and other material ("Content") contained on the Site are for informational purposes only. MDVIT shall be liable only to the extent of actual damages incurred by you, not to exceed US $10. Any claims arising in connection with your use of the Site must be brought within one (1) year of the date of the event giving rise to such action occurred. Remedies under this Agreement are exclusive and are limited to those expressly provided for in this Agreement.

MDVIT does not endorse the content on any third party websites. MDVIT is not responsible for the content of linked third party sites, sites framed within the Site, or third party advertisements, and does not make any representations regarding their content or accuracy. Your use of third party websites is at your own risk and subject to the terms and conditions of use for such sites. MDVIT does not endorse any product advertised on the Site.
INDEMNITY.
You agree to defend, indemnify, and hold MDVIT, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of this Agreement or your use of the Site.
COVENANT NOT TO SUE AND WAIVER.
You hereby agrees not to sue, assist in or be a voluntary party to assist in or be a voluntary party to, except as required by law, any action, suit, or proceeding against MDVIT for any claims, actions, suits, damages, liability, losses or expenses of whatever kind or however arising out of or relating to your use of the Site.
GENERAL.
MDVIT makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The following provisions survive the expiration or termination of this Agreement for any reason whatsoever: Liability, User Submissions, Indemnity, Jurisdiction, and Complete Agreement.
JURISDICTION.
This Agreement is governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles. Any dispute or claim arising out of, or in connection with, this Agreement shall be finally settled by binding arbitration in Miami, Florida. and the then-current rules and procedures of the American Arbitration Association by one (1) arbitrator appointed by the American Arbitration Association. The arbitrator shall apply the law of the State of Florida, without reference to rules of conflict of law or statutory rules of arbitration, to the merits of any dispute or claim. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The parties agree that, any provision of applicable law notwithstanding, they will not request, and the arbitrator shall have no authority to award punitive or exemplary damages against any party.
If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of any remaining provision of this Agreement, which shall remain in full force and effect. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
COMPLETE AGREEMENT.
Except as expressly provided in a particular "legal notice" on the Site, this Agreement constitutes the entire agreement between you and MDVIT with respect to the use of the Site, and Content. Your use of the Site is also subject to the MDVIT Privacy Policy . |
